Terms of Service
These terms are the agreement between StrivBridge and the business that uses it. They are written to be read: what we provide, what it costs, what each side is responsible for, and what happens to your data. They are also the end-user licence agreement for StrivBridge, including its QuickBooks Online and Xero connections.
1. The agreement
These Terms of Service ("Terms") are between StrivBridge, LLC ("StrivBridge", "we", "us") and the business that signs up for or uses StrivBridge ("Customer", "you"). By creating an account, starting a trial, or using the service, you agree to these Terms, our Data Processing Addendum and our Acceptable Use Policy, which form part of them. The person accepting confirms they have authority to bind the business.
StrivBridge is for businesses: property management companies, property owners and their staff. It is not for personal, family or household use.
2. The service
StrivBridge is software for running rental property: leasing, residents, maintenance, accounting, owner reporting, commercial leases, AI features, and the resident, owner and technician apps (the "Service"). We may improve and change the Service over time; we will not materially reduce its core functions during a paid period without notice.
3. Free trial
A new account starts with a 30-day free trial of the full Service, without a payment card. If you do not subscribe by the end of the trial, the account is paused: you can still sign in to export your data for 30 days, after which we delete the account and its data.
4. Price, billing and taxes
- The price is $5 per unit per month, with a minimum of $65 per month per account, unless your order form says otherwise. Everything in the Service is included; there are no add-on fees.
- A "unit" is each rentable residential home, apartment or room let separately, and each commercial suite or space, that is active in your account on the billing date. Parking spaces and storage units are not counted unless they are let under their own lease.
- Subscriptions are billed monthly in advance and renew each month until cancelled. You can cancel at any time in your account; cancellation takes effect at the end of the month already paid, and partial months are not refunded.
- We may change prices with at least 30 days' notice by email; a change applies from your next billing date after the notice period.
- Prices exclude taxes. You are responsible for sales, use and similar taxes on the Service, other than taxes on our income.
- If a payment fails and is not resolved within 15 days of our notice, we may suspend the Service until it is paid. Your data stays intact while suspended.
- Fees that partners charge for their own services, and payment processing fees, are between you and them.
5. Accounts and security
You decide who in your business has access and with what permissions, and you are responsible for their use of the Service. Keep sign-in details confidential, use two-step sign-in where you can, and tell us promptly at hello@strivbridge.com if you suspect unauthorised access.
6. Your data
- You own the data you and your residents, applicants, owners and vendors put into the Service ("Customer Data").
- You give us permission to host, process, transmit and display Customer Data only to provide, secure and support the Service for you, as set out in the Data Processing Addendum. You are the business (controller) for Customer Data and we are your service provider (processor).
- We do not sell Customer Data, use it for advertising, or use it to train AI models.
- AI rent recommendations for your properties use only your own data. We never pool one customer's data to set prices for another.
- We may use de-identified, aggregated information about how the Service is used (for example, how often a feature is used) to run and improve it. It does not identify you or any individual.
- You can export your data at any time. On termination, the export period and deletion in section 16 apply.
- You are responsible for having the right to provide Customer Data to us, and for its accuracy.
7. Your responsibilities under housing, screening and messaging laws
StrivBridge provides tools; you decide how you use them and remain responsible for complying with the laws that apply to your business, including:
- Fair housing: you set your rental criteria, advertising and decisions, and handle reasonable accommodation requests, in line with the federal Fair Housing Act and state and local law.
- Tenant screening: screening reports come from a consumer reporting agency you contract with. You must have a permissible purpose for each report and give any adverse action notices the Fair Credit Reporting Act and state law require. StrivBridge is not a consumer reporting agency and does not score, rank or recommend applicants.
- Texts and calls: you must have the consent the Telephone Consumer Protection Act and state law require before your account texts or calls anyone, including calls by the AI leasing agent; honour opt-out requests; and respect quiet hours. StrivBridge processes STOP and HELP replies automatically.
- Call recording: calls through the AI leasing agent begin by saying the call may be recorded; you are responsible for any further consent your jurisdiction requires.
- Landlord-tenant, debt collection, trust accounting and real estate licensing rules that apply to you, including keeping trust records for as long as your regulator requires.
- Notices: some notices, such as eviction or default notices for a primary residence, must be given by the means the law requires and cannot rely on electronic delivery or e-signature alone.
8. AI features
- AI features -- Rivr, the AI leasing agent, drafting, and rent recommendations -- are tools. Their output can be wrong or incomplete; review it before relying on it.
- The AI leasing agent identifies itself as an AI, gives every prospect the same information you configure, and hands conversations to your team when asked or when it cannot help.
- AI features are not used to approve, deny, score or rank applicants. Decisions about applicants, leases and rents are yours.
- Rent recommendations are suggestions; you set your own prices. Do not upload competitors' non-public pricing or occupancy information.
- You choose which AI features are on, in your account settings.
9. Payments
Online rent and fee payments are processed by our payment partners (such as Stripe) into your own account with them, under their terms, which you accept when you connect. StrivBridge does not hold or transmit your funds and is not a bank or money transmitter. You are responsible for your merchant account, refunds and chargebacks.
10. Partners and connected services
You can connect services you contract with directly -- such as your accounting system, e-signature provider, screening company, smart locks or market data -- and partners in our marketplace. Turning one on tells us to exchange the data it needs with that service. Those services are provided by them under their own terms; we are not responsible for them, and you can turn them off at any time.
11. API
You may use the StrivBridge API with API keys from your account to connect your own systems. Keep keys secret, use them only for your own business, and stay within reasonable rate limits. We may revoke a key that is misused or puts the Service at risk.
12. Acceptable use
You and your users must follow our Acceptable Use Policy. We may suspend access that breaches it or puts the Service, other customers or the public at risk, telling you why where we can.
13. Intellectual property
We own the Service, including its software, design and documentation, and grant you a non-exclusive, non-transferable right to use it for your business during your subscription. You may not copy, resell, reverse engineer or build a competing product from it. If you send us suggestions, we may use them without obligation to you.
14. Confidentiality
Each of us will protect the other's non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to protect it, unless the law requires otherwise.
15. Availability and support
We work to keep the Service available and fast, with commercially reasonable efforts, and schedule maintenance to limit disruption. We do not offer a service level agreement unless your order form includes one. Support is available by email at hello@strivbridge.com.
16. Term, cancellation and your data at the end
- This agreement continues month to month while you have an account. You can cancel at any time; we may end it with 30 days' notice, or straight away if you materially breach these Terms and do not fix it within 15 days of notice.
- When the agreement ends, you have 30 days to export your data. We then delete Customer Data within a further 30 days, except encrypted backups, which are overwritten on their regular cycle, and records we must keep by law.
- Sections that by their nature should continue -- such as fees owed, confidentiality, liability and indemnities -- survive.
17. Warranties and disclaimers
Each of us confirms it has the authority to enter this agreement. We will provide the Service with reasonable skill and care, consistent with this agreement. Apart from that, the Service is provided "as is" and "as available", and we disclaim other warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. StrivBridge does not give legal, tax, accounting or financial advice.
18. Limitation of liability
Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised they were possible. Each party's total liability under this agreement is limited to the fees you paid or owed for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your obligation to pay fees, to either party's indemnity obligations, or to your breach of the Acceptable Use Policy.
19. Indemnities
- We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay the resulting damages and costs. If that happens we may modify the Service, get you the right to keep using it, or end it and refund prepaid fees for the unused period.
- You will defend us against third-party claims arising from Customer Data, your use of the Service in breach of law or these Terms -- including fair housing, screening, messaging consent and call recording obligations -- and services you connect, and pay the resulting damages and costs.
- The party claiming must tell the other promptly, let it control the defence and settlement, and give reasonable help.
20. Changes to these Terms
We may update these Terms. For a material change we will email the account owner at least 30 days before it takes effect; continuing to use the Service after that means you accept it. The date at the top shows the current version.
21. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. Any dispute will be heard in the state or federal courts located in Atlanta, Georgia, and each of us consents to their jurisdiction.
22. General
- Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of its business.
- Neither party is liable for delays caused by events beyond its reasonable control.
- We will not use your name or logo in our marketing without your permission.
- You may not use the Service in breach of US export controls or sanctions.
- If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- These Terms, the Data Processing Addendum, the Acceptable Use Policy and any order form are the whole agreement between us about the Service. If an order form conflicts with these Terms, the order form wins.
- Notices to us go to hello@strivbridge.com or StrivBridge, LLC, 1922 Jacolyn Pl NE, Atlanta, Georgia 30329, United States. We send notices to the account owner's email address.
